1. Acceptance of Terms
By accessing our landing page at www.favhost.com and using the Favhost Channel Manager software application (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use our Service.
2. Description of Service
Favhost provides a channel management software application designed to synchronize inventory, pricing, availability, and reservation/order data between your centralized account and third-party booking channels, marketplaces, or platforms ("Connected Channels").
3. Account Registration and Security
Accuracy: You must provide accurate, current, and complete information during the registration process.
Security: You are responsible for safeguarding your password and account credentials. You agree not to disclose your password to any unauthorized third party.
Liability: You are solely responsible for any activities or actions under your account, whether or not you have authorized such activities. Notify us immediately of any unauthorized use of your account.
4. Use of the Service and Connected Channels
Third-Party Terms: Our Service interacts with Connected Channels (e.g., OTAs, e-commerce platforms, booking engines) via Application Programming Interfaces (APIs). Your use of those Connected Channels is strictly governed by their respective Terms of Service.
API Reliability: We strive to maintain continuous synchronization; however, we do not control the APIs of Connected Channels. We are not responsible for delayed syncs, failed updates, or resulting overbookings caused by third-party API downtimes, rate limits, or changes to third-party infrastructure.
Acceptable Use: You agree not to use the Service for any unlawful purpose, to upload malicious code, to attempt to disrupt our servers, or to reverse-engineer our software.
5. Fees and Payment
Subscription Fees: Access to the Service is billed on a subscription basis as outlined on our pricing page. You agree to pay all applicable fees related to your use of the Service.
Billing Cycle: Fees will be billed in advance on a recurring basis (e.g., monthly or annually).
Changes to Pricing: We reserve the right to modify our pricing. We will provide notice before any price changes take effect on your next billing cycle.
Refunds: Payments are non-refundable, except as explicitly required by law or as stated in a separate written agreement.
6. Intellectual Property
Our Software: The Service, including its original content, features, functionality, and underlying code, is and will remain the exclusive property of Favhost and its licensors.
Your Data: You retain all rights to the data, content, and materials you upload to the Service. By uploading data, you grant us a worldwide, royalty-free license to use, store, and process that data solely for the purpose of providing the Service to you.
7. Disclaimers and Limitation of Liability
"As-Is" Service: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Favhost makes no warranties, whether express or implied, regarding the reliability, accuracy, or uninterrupted availability of the Service.
Overbookings and Pricing Errors: You acknowledge that data synchronization delays can occur. Favhost is not liable for lost revenue, canceled reservations, double booking, data loss, overbookings, or pricing discrepancies resulting from sync delays, user error, or third-party channel outages.
Maximum Liability: To the maximum extent permitted by applicable law, in no event shall Favhost, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claims under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.
8. Termination
By You: You may terminate your account at any time by contacting us or canceling your subscription through your account.
By Us: We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including a breach of these Terms.
Survival: All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
